1. Acceptance of Terms

By accessing or using the website amerisana.com (the "Platform"), operated by Amerisana LLC ("Amerisana," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility & Age Requirement

You must be at least 18 years of age to use this Platform. By using the Platform or submitting any form, you represent and warrant that you are 18 years of age or older. If you are under 18, you are prohibited from using the Platform in any capacity.

3. Description of Services

Amerisana is a medical travel coordination platform. We connect prospective clients with vetted partner clinics and healthcare facilities abroad. Our services include consultation coordination, logistics assistance, travel planning, and concierge support.

Amerisana is NOT a healthcare provider. We do not provide medical advice, diagnosis, program recommendations, or any clinical services. We do not employ physicians, surgeons, or other medical professionals. All medical decisions, procedures, and programs are solely between you and the independent partner clinic you choose to engage with.

4. Medical Disclaimer

Important: Nothing on this Platform constitutes medical advice. All content on this Platform is for informational and navigational purposes only. You should always consult with a qualified healthcare professional before making any decisions regarding medical procedures. Amerisana makes no representations or warranties regarding the quality, safety, outcome, or suitability of any medical procedure or program offered by partner clinics. Results vary by individual. You acknowledge and accept all risks associated with medical tourism and medical procedures.

5. Program Availability Disclaimer

Program availability on this Platform may change based on regulatory, advertising, and clinic-capacity requirements. Any care options discussed off-site are still evaluated and administered only by independent, licensed physicians at partner clinics. Amerisana does not provide, administer, or supervise medical procedures. Individual results may vary. You are strongly encouraged to consult your own licensed healthcare provider before enrolling in any medical program.

6. Sensitive Data Consent

Under applicable state privacy laws, health-related information is classified as "sensitive data" that requires your explicit consent before processing.

When you submit a consultation request through our Platform and select a medical service of interest, you may voluntarily provide information that relates to your health or medical interests. By checking the health-data consent checkbox on our consultation form, you explicitly consent to the processing of this information for the sole purpose of coordinating your medical consultation with partner clinics.

You may withdraw this consent at any time by contacting us at info@amerisana.com. Upon withdrawal, we will cease processing your sensitive data, though this will not affect the lawfulness of processing carried out prior to withdrawal.

7. Protected Health Information (PHI)

Do NOT submit Protected Health Information (PHI), sensitive medical records, lab results, prescription details, or other confidential health data through any form, email, or communication channel on this Platform. The Platform's public forms, email inboxes, and ordinary website communications are not HIPAA-compliant communication channels. They are designed for general inquiry purposes only. If your care requires the exchange of detailed medical records, our team will coordinate a secure, appropriate channel with the partner clinic. Amerisana disclaims all liability for any PHI or sensitive health data you voluntarily submit through the Platform outside a designated secure channel.

8. Website Communications

Public communications are limited to forms, email, and other contact methods we expressly make available.

Use only the public contact methods listed on the Platform for first contact. Do not share PHI, medical records, or other sensitive health data through public forms or ordinary email. Enquiry submissions and follow-up correspondence may be logged and stored as described in our Privacy Policy for service delivery, fraud prevention, and recordkeeping. Amerisana may suspend, ignore, or block abusive, automated, or unlawful communications. If detailed medical information is needed, Amerisana will direct you to a more appropriate channel with the relevant clinic.

9. Data Sharing with Partner Clinics

When you submit a consultation request, your contact information and inquiry details may be shared with one or more partner clinics that provide the services you are interested in. By submitting a consultation request, you explicitly consent to this data sharing.

Partner clinics are independent entities. Once your data is shared with a partner clinic, the processing of that data by the clinic is governed by their own privacy policies and applicable local law. Amerisana is not responsible for the data practices of partner clinics.

10. User Responsibilities

By using the Platform, you agree to: provide accurate and truthful information in all forms and communications; not use the Platform for any unlawful, fraudulent, or abusive purpose; not attempt to probe, scan, or test the vulnerability of the Platform or circumvent any security measures; not use automated tools (bots, scrapers, etc.) to access or interact with the Platform without our prior written consent; not submit any content that is defamatory, obscene, threatening, or otherwise objectionable; and comply with all applicable local, state, national, and international laws and regulations.

11. Intellectual Property

All content on the Platform — including text, graphics, logos, images, software, and design elements — is the property of Amerisana or its licensors and is protected by United States and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Amerisana, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Platform or any medical procedure or program obtained through a partner clinic.

Amerisana's total aggregate liability for all claims arising out of or related to these Terms or the Platform shall not exceed the amount paid by you to Amerisana in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

This section governs use of the website itself. If you enter into a separate Client Service & Medical Travel Coordination Agreement with Amerisana, the liability and release provisions of that Agreement govern your medical travel coordination services and control over any conflicting provision in these Terms.

13. Disclaimer of Warranties

The Platform and all content, services, and features are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Amerisana does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content on the Platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless Amerisana and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any medical procedure or program you undergo through a partner clinic; or (d) your violation of any applicable law or the rights of any third party, except to the extent such claims arise from Amerisana's own negligence or willful misconduct, to the extent prohibited by applicable law.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles.

Any disputes arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a neutral arbitrator, to the fullest extent permitted by applicable law. The arbitration shall be conducted remotely or, if an in-person hearing is required, at a reasonably convenient location in Colorado for you. Any consumer rights, remedies, procedures, or cost protections that cannot lawfully be waived or restricted by contract remain available to you. Any court proceeding permitted or required notwithstanding this arbitration provision shall be brought in a court of competent jurisdiction located in the State of Colorado, unless applicable law requires another forum. You consent to the personal jurisdiction and venue of such courts.

16. Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Fees & Payment

Submitting a consultation request and speaking with our coordination team is free. There is no charge to enquire, to receive general information, or to complete an initial consultation.

If you decide to proceed, a coordination fee applies as part of the total package price for the logistical coordination services Amerisana provides. The full terms governing fees, payment, and what is included are set out in the Client Service & Medical Travel Coordination Agreement and its Exhibit A, which you will review and sign separately before any procedure is booked.

19. Refunds

Refund and cancellation terms are governed by the Client Service & Medical Travel Coordination Agreement (Section 7 and Exhibit A), not by these website Terms. Please refer to that Agreement, which you will sign separately, for the applicable cancellation schedule.
